1. Our Services: Link Clicks Inc. offers a software as a service (SaaS) platform (the “Ads Manager”) that allows Advertisers to manage ad campaigns across multiple platforms from a single dashboard, an AI Creative Studio (including an AI Image Maker, an AI Video Maker, music generation, voiceovers, and storyboard-assisted creation), a Marketing Intelligence suite, integrations that connect an ecommerce store (such as a Shopify store) so that sales can be reported and attributed to advertising, the LinkClicks tracking pixel, website and store monitoring (uptime, traffic and competitor monitoring), and a free public website Scanner that analyses URLs for SEO, security, performance, and trust signals. The AI generation features may use third-party model and inference providers, including BytePlus, OpenAI, Google, and others we may evaluate or use from time to time. The Scanner is available to any visitor without an account. Logins are secured by email or social media login. Advertisers are responsible for their own ad content, creatives, and ad spending. Link Clicks Inc. is not responsible for mis-use resulting in poor ad performance or over spending. The Ads Manager is a tool and it is the responsibility of the Advertiser to use it responsibly.
   
   1.1 Scanner Acceptable Use and Results DisclaimerScanner Acceptable Use: You may only submit URLs for websites you own or have explicit permission to scan. You must not use the Scanner to probe, enumerate, or exploit third-party systems. Link Clicks Inc. implements SSRF protections to prevent misuse; circumventing these protections is prohibited.
   
   Scanner Results Disclaimer: Scanner results are provided for informational purposes only. Link Clicks Inc. makes no representations or warranties of any kind — express or implied — regarding the accuracy, completeness, reliability, or currency of any scan result. Results may be incomplete, outdated, or incorrect. Link Clicks Inc. accepts no responsibility or liability whatsoever for any action taken, or not taken, in reliance on Scanner output, regardless of whether such results prove to be accurate or inaccurate. You are solely responsible for any decisions, actions, or consequences arising from your use of the Scanner or its results.
   
   
2. Advertiser Responsibility: Advertisers must not violate any laws, rights of any third party, or use for fraudulent purposes. Advertisers are solely responsible for the content of their ads and must ensure that it complies with all applicable laws and regulations, including the terms and policies of third-party advertising platforms (e.g., Meta Ads, Google Ads, LinkedIn Ads, etc.). Link Clicks Inc. is not responsible for any suspension, termination, or other action taken by these platforms due to your non-compliance.
   
   
3. Changes to the Services: Link Clicks Inc. reserves the right to make changes to or discontinue the Services for any reason without notice. Link Clicks Inc. has no liability for doing so.
   
   
4. Privacy: Link Clicks Inc.’s privacy policy explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that Link Clicks Inc. can use such data in accordance with our privacy policy. You acknowledge that Link Clicks Inc. may process personal data on your behalf and agree to comply with all applicable data protection laws, including GDPR, CCPA, and PIPEDA. Account and platform deletion requests are handled under our delayed-deletion process described in theprivacy policy, including immediate deactivation and scheduled permanent deletion after the applicable retention window. You also acknowledge that we may derive approximate geolocation data such as country and city from IP address information for analytics, fraud prevention, and service security. This product includes GeoLite Data created by MaxMind, available from https://www.maxmind.com. Use of the Scanner by unauthenticated visitors is also subject to our privacy policy, including our collection and storage of IP address, submitted URL, and scan results as described therein.
   
   
5. Intellectual Property: You retain ownership of all content, including ad creatives, that you upload or create using the Services. By using the Services, you grant Link Clicks Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Services. All intellectual property rights in the Services, including software, trademarks, and logos, are owned by Link Clicks Inc. or its licensors.
   
   
6. AI-Generated Content: The Services include an AI Image Maker feature that generates images and an AI Video Maker feature that generates videos using artificial intelligence models. By using these features, you acknowledge and agree to the following:
   
   
   • You may use AI-generated images and videos for advertising and business purposes in accordance with these Terms.
   • AI-generated images, videos, music, and voiceovers may be created using third-party models and inference providers that we may change over time, including BytePlus, OpenAI, Google, and others we evaluate or add from time to time. Output quality, accuracy, and suitability for your intended use are not guaranteed.
   • Link Clicks Inc. reserves the right to scan, moderate, and remove any AI-generated content that violates our content policies or applicable law.
   • All prompts, parameters, source images, and generated images or videos may be logged for safety moderation, abuse prevention, and compliance purposes as described in our Privacy Policy.
   • Link Clicks Inc. reserves the right to suspend or permanently revoke image and video generation privileges for users who repeatedly violate our content policies.
   
   6.1 Prohibited ContentYou must not use the AI Image Maker, AI Video Maker, music generation, voiceover, or storyboard-assisted features to attempt to generate content that:
   • Depicts, exploits, or sexualises minors in any way
   • Contains explicit sexual or pornographic material
   • Depicts graphic violence, gore, torture, or self-harm
   • Promotes hatred, discrimination, or violence against any person or group
   • Impersonates real individuals, including celebrities, politicians, or public figures
   • Creates deepfakes or non-consensual intimate imagery
   • Depicts illegal activities such as drug manufacturing, weapons creation, or counterfeiting
   • Infringes on the intellectual property rights of others
   Violations are automatically detected and logged. Repeated violations result in escalating consequences, including temporary suspension and permanent loss of image, video, music, and voice generation privileges.
   
   6.2 DMCA and Copyright ConcernsIf you believe that an AI-generated image infringes on your copyright or intellectual property rights, please contact us at [email protected] with a description of the allegedly infringing content and your claim of ownership. We will investigate and take appropriate action in accordance with applicable law.
   
   
7. Connected Stores and Ecommerce Data: The Services allow you to connect an ecommerce store so that we can read your orders, checkouts and products in order to report on your sales and attribute them to your advertising. By connecting a store you represent and warrant that you are authorised to do so and to share that store’s data with us.
   
   
   • You are the controller of your customers’ data; we are your processor. We process store data only to provide the Services to you, as described in Section 2.4 of our Privacy Policy, which forms part of these Terms and sets out the categories of data, the retention periods, and our handling of data-subject requests. We do not sell store data, use it to build cross-merchant profiles, or market to your customers.
   • Your compliance obligations. You are responsible for having a lawful basis to share your customers’ data with us, for disclosing your use of LinkClicks in your own privacy notice, and for obtaining any consent your jurisdiction requires before deploying the LinkClicks pixel on your site or storefront. You must not send us data you are not permitted to share, and you must not use the Services to process special categories of personal data.
   • Data-subject requests. We honour the mandatory compliance requests your ecommerce platform forwards to us: customer data requests are answered to you within 30 days, customer redaction is completed within 48 hours, and a store’s data is erased on uninstall or store-erasure. Where a customer contacts us directly, we will normally refer them to you as their controller and assist you in responding.
   • Uninstalling. Uninstalling the app revokes and destroys our access tokens for that store immediately and stops further data collection. Your existing reports remain available for the grace period described in the Fees section below, after which the store’s data is erased.
   • Accuracy. Attribution links a sale to an advertisement using the signals available to us, which are affected by browser restrictions, ad blockers, cross-device journeys and platform limitations. Attribution and revenue reporting are estimates provided for informational purposes and are not a system of record for accounting, tax or reconciliation purposes. Your ecommerce platform and payment provider remain authoritative for what you actually sold and were paid.
   
   
8. Disclaimer of Warranties: The Services are provided on an “as is” and “as available” basis. Link Clicks Inc. makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included on the Services.
   
   
9. Limitation of Liability: Link Clicks Inc. will not be liable for any damages of any kind arising from the use of the Services, including but not limited to direct, indirect, incidental, special, punitive, or consequential damages, or loss of profits, data, or business opportunities, whether arising from your use of the Services or any third-party platforms integrated with the Services.
   
   
10. Indemnification: You agree to indemnify, defend, and hold harmless Link Clicks Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, your content, or your violation of these Terms of Service or any third-party terms.
    
    
11. Service Availability: Link Clicks Inc. does not guarantee uninterrupted or error-free operation of the Services. The Services may be subject to downtime, delays, or disruptions due to factors beyond our control, including but not limited to third-party platform outages, maintenance, or internet connectivity issues.
    
    
12. Support Access for Debugging and Research: To help diagnose issues, improve the Service, and conduct internal product research, Link Clicks Inc. personnel may inspect account data, campaign configurations, settings, connected ad platform metadata, and related workspace information in read-only mode. We will not modify live ads without your direction except where required for security, abuse prevention, or legal compliance.
    
    
13. Fees and Subscriptions: The Services are offered on paid subscription plans, with a limited free trial. Current plans and prices are shown on our pricing page and, where you subscribe through an app marketplace, on that marketplace’s listing.
    
    
    • Billing. Subscriptions purchased through our website or mobile apps are billed by our payment processor. Subscriptions purchased through the Shopify App Store are billed by Shopify through the Shopify Billing API and appear on your Shopify invoice; in that case Shopify’s billing terms govern the charge itself, and cancellation or payment-method changes are made in your Shopify admin. You hold at most one active LinkClicks subscription at a time, whichever provider it is billed through.
    • Trials and renewal. Free trials run for the period stated at sign-up, after which the plan renews automatically at the then-current price for successive billing periods until cancelled. Annual plans are charged in advance for the full year.
    • Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not provide refunds for partial billing periods except where required by law or by the marketplace through which you purchased.
    • Uninstalling a marketplace app. If you uninstall the app you subscribed through, we continue your access for a grace period of 7 days so that you can export your data or move your subscription, after which the subscription ends.
    • Price changes. We may change prices. Changes take effect at your next renewal and we will notify you in advance; if you do not accept the new price, you may cancel before it takes effect. Prices are exclusive of applicable taxes, which are added where required.
    • Non-payment. If a charge fails or is reversed, we may suspend or downgrade your access until the balance is settled.
    • Ad spend is separate. Subscription fees pay for the Services only. You remain solely responsible for all spending on the third-party advertising platforms you connect, which those platforms bill you for directly.
    
    
    
14. Age Restrictions: By using the Services, you represent and warrant that you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher. Minors are not permitted to use the Services under any circumstances. If you are under 18, you are prohibited from accessing or using the Services.
    
    
15. Force Majeure: Link Clicks Inc. will not be liable for any failure or delay in performing its obligations under these Terms of Service due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, or government actions.
    
    
16. Governing Law and Jurisdiction: These Terms of Service are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising from these terms or your use of the Services will be resolved exclusively in the courts of Ontario, Canada.
    
    
17. Dispute Resolution: Any disputes arising out of or relating to these Terms of Service or the Services will be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada (ADRIC). The arbitration will take place in Ontario, Canada, and the decision of the arbitrator will be final and binding.
    
    
18. Updates to Terms of Service: Link Clicks Inc. reserves the right to update or modify these Terms of Service at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms of Service.
    
    
19. Termination: Link Clicks Inc. reserves the right to terminate your access to the Services at any time, without notice, for any reason.
